This Stem Cell Banking Agreement (the "Agreement") is entered into this [Date] by and between [Name of Parent/Guardian], residing at [Address], hereinafter referred to as the "Parent/Guardian", and [Name of Stem Cell Bank], a corporation organized and existing under the laws of [State], with its principal place of business at [Address], hereinafter referred to as the "Bank".
WHEREAS, the Parent/Guardian desires to store the umbilical cord blood stem cells of [Name of Child], born on [Date of Birth], for potential future medical use; and
WHEREAS, the Bank is in the business of collecting, processing, storing, and distributing stem cells derived from umbilical cord blood;
NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows:
1. Collection and Processing. The Bank shall collect the umbilical cord blood from the Child at [Location of Collection] on or about [Date of Collection]. The Bank shall process the umbilical cord blood in accordance with its standard operating procedures and shall store the stem cells derived therefrom in a cryogenic storage facility.
2. Storage. The Bank shall store the stem cells in a cryogenic storage facility that is certified by the [Name of Certification Body] and that meets all applicable regulatory requirements. The Bank shall maintain the stem cells in a stable and viable condition for the duration of the storage period.
3. Storage Period. The initial storage period shall be for [Number] years. The Parent/Guardian may renew the storage period for additional periods of [Number] years each, subject to the Bank's thencurrent storage fees.
4. Fees. The Parent/Guardian shall pay to the Bank an initial storage fee of [Amount] and an annual storage fee of [Amount]. The storage fees shall be due and payable on the anniversary of the date of this Agreement.
5. Use of Stem Cells. The stem cells stored by the Bank may be used for the medical treatment of the Child or for research purposes. The Parent/Guardian shall have the right to withdraw the stem cells for medical treatment of the Child at any time. The Bank may use the stem cells for research purposes only with the prior written consent of the Parent/Guardian.
6. Ownership of Stem Cells. The stem cells stored by the Bank shall be the property of the Child. The Bank shall have no ownership interest in the stem cells.
7. Release of Stem Cells. The Bank shall release the stem cells to the Parent/Guardian or to a healthcare provider designated by the Parent/Guardian upon receipt of a written request from the Parent/Guardian. The Bank shall not release the stem cells to any other person or entity without the prior written consent of the Parent/Guardian.
8. Limitation of Liability. The Bank's liability for any breach of this Agreement shall be limited to the amount of the storage fees paid by the Parent/Guardian. The Bank shall not be liable for any consequential, indirect, or special damages, including but not limited to the cost of medical treatment or the loss of earning capacity.
9. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of [State].
10. Entire Agreement. This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements, written or oral.
